wauko (Pty) Ltd, a dynamic financial services company in Stellenbosch, offers an exciting opportunity for a company secretary who will be mainly responsible for assisting the trust and company services division. The role also includes a wide range of risk management and compliance matters.
Key Responsibilities
- Manage and develop the portfolio of company secretarial clients;
- Schedule and convene trust, board, and subcommittee meetings;
- Prepare, consolidate and circulate board, trust and subcommittee packs ahead of meetings;
- Participate in board meetings, preparing first draft of minutes and matters arising;
- Liaise with boards, shareholders, beneficiaries, auditors, bankers, and other external- and internal parties (as required);
- Prepare and file statutory documents, including beneficial owner registers, with CIPC and the Master of the High Court;
- Maintain statutory registers and minutes;
- Manage other administrative duties, including but not limited to, client due diligences in terms of FICA;
- Other ad-hoc administrative support for the Wauko Group.
Qualification and experience
- Completed recognised company secretarial qualification / Chartered Secretaries (CIS) qualification / legal qualification (preferred);
- Up-to-date understanding of the Companies Act and the Trust Property Control Act;
- Experience in attending board and subcommittee meetings;
- Experience in working with both CIPC and Master of the High Court, the latter in respect of trusts;
- Basic knowledge of the Financial Intelligence Centre Act;
- Experience in conducting client due diligence in terms of FICA (preferred);
- Excellent MS Office skills and ability to adapt to technical developments.

- Ability to communicate with external parties as well as all levels within the business in a clear and articulate manner;
- Excellent attention to detail, organised, analytical, self-driven and able to work independently;
- Own transport.
